I just got it to build on my system last friday. There were a couple of
tricks though.
Follow the instructions in the INSTALL.Win32 file don't use the VC++
project. Just use the batch build files.
I did have to download and install the latest version of Active Pearl so I
could run the configure program. Additionally I had to download the nasm
assembler, but that worked really easily.
From there I just ran all of the batch files described in INSTALL.Win32.
When you get to compiling Curl watch out for errors relating to the
definition of the USE_OPENSSL preprocessor macro. I had to define that
myself, and also had to define HAVE_OPENSSL_ENGINE_H.
From then on, all was good.

I can't ever get OpenSSL to build on windows/VC6. This is after an hour of
trying to modify the makefile to get it to build, has anyone else gotten it
working? version 0.9.7 ? If not, what do most people do to get SSL support
with curl, i see packages of SSL DEVEL for mingw but none for VC6.
